Corporate Due Diligence is an integral part of commercial transactions:

  • Advised shareholders of M-Oriental Bank on disposal of shares to a non-Kenyan investor. The advisory role included drafting of share purchase agreements, options and applying for regulatory approvals. The transaction value in excess of US$5Million.
  • On a disposal of shares transaction, acted for the shareholders of General Cargo Services Limited on sale of shares and business to a non-Kenyan logistics company. Provided the shareholders with transaction advisory services, compliance and regulatory guidance. The transaction value in excess of KShs. 700 million.
  • Principal legal advisors to setting up a private game sanctuary in the north of Maasai Mara, having acted for Multi-Act Conservation on an inward investment into the hospitality industry and conservancy.
  • Principal legal advisors on the re-structuring of the business and shareholding of Kenfreight East Africa Limited in Uganda, Tanzania, Rwanda and South Sudan.
  • Advising Spanfreight Shipping Services Limited as its principal advisors on the sale of its feeder line and logistics business in the blue Indian Ocean Islands and Kenya. The transaction value in excess of US$25million.
  • Advising and acting as principal advisors for Menengai Oil Industries Limited on the sale of its palm oil business in Kenya through a share acquisition model. The transaction value in excess of US$70million based on both debt and equity.
  • Advising on the setting up a multinational trading house for a consortium of oil dealers based in Kenya and across the East African region, having represented Petrocity Enterprises Limited in this cross-border facility.
  • Advising on upstream and downstream oil trading businesses, including agreements for public petrol stations, exclusive storage facilities and hospitality agreements having acted for Petro Oil Kenya Limited and Premium Fuels Kenya Limited.
  • Advising on and setting up of hospitality and procurement agreements between several oil companies across the East African borders, having acted for Petrocity Enterprises Limited on a hospitality facility in Tanzania.
